FIRST DEVELOPMENT AND KNOWLEDGE CLUSTER IN THE CARPATHIAN BASIN
DEED OF FOUNDATION
1./ The undersigned organizations such as the PannonForrás Education and Services Network in the Carpathian Basin cooperating organizations claim that - five years of results and experience of the common - found PannonForrás First Development and Knowledge Cluster in the Carpathian Basin (short name: PannonForrás Cluster). The founders determine the cluster's primary operating area of the Carpathian Basin
2./ The parties co-operate to achieve the accepted by the membership vision, mission and strategy and the resulting common goals, receive the services of the cluster and during its progress ensure the achieved goals continuous maintenance.
3./ The deed of foundation does not create a separate legal entity. The Member meeting is the top-level decision-making and resolution body of cluster. The joint activities are coordinated by the Governing Board with the leadership of the President. The Organizational and Operational Regulations’ instructions provide the organizational background of the professional and financial operative cluster management.
4./ In order to achieve the common objectives the members undertake the implementation of program and project plans and agreements in the tasks, for those self-responsibility. The concerned members must agree in a separate contract about the intellectual products and the use and ownership of properties and devices which were created as a result of common activities.
5./ Under this agreement all members’ leader of the cluster assumes responsibility for compliance with the rules adopted by the Code of Ethics.
6./ The Governing Board of the cluster –with the maintenance of possibility of appeal to the Member meeting - has the right and obligation to exclude the organization from the cluster, whose activities and operation endanger from ethical, professional or financial point of view the cluster’s objectives, services and the implementation of programs, projects or impair its credibility.
7./ Present Deed of Foundation – according to the rules of the Organizational and Operational Regulations maintenance of possibility of reserved decision - for an indefinite period. The document was written by 4 (four) numbered pages and 3 (three) original, signed copies. The change of it can be made with the prior permission of the cluster members in writing.
